Our Service is provided on an "as-is" basis and we reserve the right to modify, suspend, or discontinue any part of the Service at any time.

Encouraged Uses:

The following activities are strictly prohibited and may result in immediate account termination:
Technical Violations:
- Reverse engineering our software
- Attempting to hack or exploit vulnerabilities
- Using bots, scrapers, or automated tools
- Overloading our servers with excessive requests
- Circumventing usage limits or restrictions
Content Violations:
- Analyzing content that violates YouTube's policies
- Promoting hate speech, violence, or illegal activities
- Attempting to optimize misleading or false content
- Using our service for spam or manipulation
- Reselling or redistributing our analysis without permission
Violations will be investigated and may result in warnings, account suspension, or permanent termination without refund.
6.1 Our Intellectual Property
The Service and all its content, features, and functionality are owned by JiffySEO and are protected by intellectual property laws. This includes:
- Software code, algorithms, and AI models
- User interface design and graphics
- Text, images, and multimedia content
- Trademarks, logos, and brand elements
- Analysis methodologies and scoring systems
6.2 User Content License
When you submit content for analysis, you grant us a limited, non-exclusive license to process and analyze that content solely for providing our services. We do not claim ownership of your content.
6.3 DMCA Policy
We respect intellectual property rights. If you believe your copyrighted work has been used inappropriately, contact us at dmca@jiffyseo.com with detailed information about the alleged infringement.
7.1 Pricing and Payments
- All prices are in USD and subject to change with 30 days notice
- Payments are processed through Stripe, our secure payment processor
- You authorize us to charge your payment method for all fees
- Failed payments may result in service suspension after 7 days
- All sales are final unless otherwise specified in our Refund Policy
7.2 Taxes
You are responsible for all applicable taxes, duties, and governmental charges. We may collect taxes where required by law.
7.3 Billing Disputes
Contact us within 60 days of any billing dispute. After 60 days, you waive your right to dispute the charge.
8.1 Subscription Plans
- Subscriptions renew automatically unless cancelled
- Usage limits reset at the beginning of each billing period
- Downgrades take effect at the next billing cycle
- Upgrades take effect immediately with prorated billing
8.2 Cancellation
- You may cancel your subscription at any time
- Cancellation takes effect at the end of the current billing period
- No refunds for partial billing periods unless required by law
- Account data may be deleted 90 days after cancellation

9.1 Service Availability
- We strive for 99.9% uptime but do not guarantee continuous availability
- Scheduled maintenance will be announced in advance when possible
- We are not liable for downtime beyond our reasonable control
- Third-party service outages may affect our functionality
9.2 Service Modifications
We reserve the right to modify, suspend, or discontinue any part of our Service at any time. We will provide reasonable notice for material changes affecting paid features.

10.2 AI LIMITATIONS
Our AI analysis is based on patterns and data but cannot guarantee specific results. YouTube's algorithm changes frequently, and past performance does not predict future results.
10.3 NO GUARANTEE OF RESULTS
We make no guarantees about increased views, subscribers, revenue, or any other YouTube metrics. Success depends on many factors beyond title optimization.
10.4 THIRD-PARTY DEPENDENCIES
Our service relies on third-party APIs (YouTube, OpenAI, etc.). We are not responsible for their availability, accuracy, or policy changes.
LIMITATION OF LIABILITY - MAXIMUM LEGAL PROTECTION
11.1 EXCLUSION OF DAMAGES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JIFFYSEO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
11.2 MONETARY LIMIT
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
11.3 TIME LIMITATION
You must bring any claims within one (1) year after the cause of action arises, or such claim is permanently barred.
11.4 ESSENTIAL PURPOSE
These limitations shall apply even if any limited remedy fails of its essential purpose.
INDEMNIFICATION CLAUSE - USER RESPONSIBILITY
You agree to defend, indemnify, and hold harmless JiffySEO, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:
- Your use of the Service in violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Your violation of any applicable laws or regulations
- Any content you submit for analysis
- Any fraudulent or illegal activity by you
- Your breach of any representation or warranty in these Terms
13.1 Termination by You
- You may terminate your account at any time through your account settings
- Cancellation takes effect at the end of your current billing period
- You remain liable for all charges incurred before termination
13.2 Termination by Us
We may terminate or suspend your account immediately for:
- Violation of these Terms
- Fraudulent or illegal activity
- Non-payment of fees
- Abuse of our service or other users
- Any reason with 30 days notice for convenience
13.3 Effect of Termination
- Your right to use the Service immediately ceases
- We may delete your account data after 90 days
- Provisions regarding liability, indemnification, and disputes survive termination
- No refunds except as required by law or our Refund Policy
MANDATORY ARBITRATION CLAUSE - PLEASE READ CAREFULLY
14.1 BINDING ARBITRATION
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
14.2 CLASS ACTION WAIVER
YOU AND JIFFYSEO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
14.3 EXCEPTIONS
This arbitration clause does not apply to: (a) claims for injunctive relief, (b) intellectual property disputes, (c) small claims court matters under $10,000, or (d) attempts to enforce the arbitration clause itself.
14.4 ARBITRATION PROCEDURES
- Arbitration will be conducted in English
- Location will be determined by AAA rules or mutual agreement
- Each party pays their own attorney fees unless required by law
- Arbitration award is final and binding
These Terms shall be interpreted and governed by the laws of the State of Wisconsin, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
Any legal action or proceeding relating to these Terms (not subject to arbitration) shall be brought exclusively in the state or federal courts located in Wisconsin, and you consent to the jurisdiction of such courts.
We reserve the right to modify these Terms at any time. When we make changes:
- We will update the "Last Updated" date
- We will notify you via email for material changes
- Changes take effect 30 days after notification unless you object
- Continued use of the Service constitutes acceptance of new Terms
- If you disagree with changes, you may terminate your account
